Operating across Europe through a number of sector and territory leading brands, this dynamic and ambitious group is entering a highly acquisitive stage of its expansion as it looks to take advantage of a heavily fragmented market.
The new position of M&A Director has been created to lead on corporate finance activities across the UK market, playing a pivotal role in the organisation's immense growth plans.
Reporting to the UK CFO, the role includes:
Partner the UK MD and wider Exec team, providing clear leadership on the buy/build strategy and transaction structuringSupport and direct on market research for deal origination, transaction analysis and sector insight Primary point of contact for external brokers to develop the opportunity network and future acquisition targetsIdentify and assess possible acquisition opportunities, formulate proposals, work with Exec for approvalEngage with target owners, communicating the acquisition opportunity and potential deal structures, lead and own vendor negotiationsOwn the end-to-end deal transaction from origination to completion and deal closeDevelop, create and review financial models to evaluate target acquisitionLead and own the development of business cases, discussion of non-binding offer approvals through to submissionLead and oversee due-diligence work streams, partnering external advisers, co-coordinating internal stakeholders and keeping management continuously appraised of deal progress, risks, issues, timing and deadlinesLead the deal through financial due-diligence processes and legal negotiationsPrepare robust investment cased for Board sign offOwn and manage the timetabled process of tracking for end-to-end project status, with clear and succinct reporting to the CFO and MD, including risk mitigation and issue resolution recommendationsWork with the internal integration team and target shareholders/senior management to facilitate the development of an integration strategy and execution plan, including the preparation of a Day 1 integration pack for handoverLead and coach a team of 2Operate with unyielding integrity, ensuring that fair treatment of acquisitions is at the forefront, and all interactions conducted in an open and transparent manner
Required candidate profile:
Qualified accountant having trained within PracticeSubstantial post-qualified experience in Corporate FinanceDemonstrable experience of buy side M&AProven experience of advanced financial modelling skillsExceptional interpersonal and stakeholder management skills, with the talent to take people on a journeyAbility to manage multiple business critical projects simultaneously and at paceComfortable within a hands-on, evolving and ambiguous environment that is growing at a tremendous paceKnowledge of the Real Estate market
