Key Facts

Job Title: Clerk to Board of Trustees

Salary: GBP30,000 full-time equivalent (pro-rata)

Office: 223 Windmill Rd, London W5 4DJ

Contract: Permanent, Variable Hours.

Hours: 10 hours per week, with flexibility to allow for quieter and busy periods in the year.

Reporting to: CEO

Location: Remote, with visits to the office for meetings with Chair/CEO

Attendance for minute-taking at Board/Committee meetings

Holidays: 25 days pro-rata

Main Purpose and Scope of the Role

To support the Chair of Trustees and CEO in providing comprehensive administrative assistance to the board and governance support for the charity. This is a new position which requires excellent organisational skills, attention to detail, and the ability to manage multiple tasks simultaneously. This role requires someone to raise the level of administrative support for governance and compliance of the charity.

The Board meets at least six times per year, with Committees meeting quarterly. There are ten trustees of Dementia Concern, bringing a wealth of professional experience across the healthcare and charitable sector, as well as experts in financial governance, risk, compliance and marketing. Most of the trustees have a personal connection to dementia which enhances their contribution. The Board is very engaged with the strategic oversight of and support for the operations of high quality community healthcare service delivery in Ealing.

Key Responsibilities

Board Support:

Coordinate and schedule board meetings, preparing meeting agendas, and distributing materials to board members. Including advanced calendar planning and co-ordinating dates across busy calendars. Take accurate meeting minutes and maintain official records of all board meetings, resolutions, and actions taken. Prepare and disseminate meeting follow-up materials, including action items, decisions, and deadlines. Provide administrative support to board members, assisting with committee and other meeting logistics as needed. Advise the board on legal and procedural issues and keep records of membership, training and attendance. Governance Documentation: Person Specification

Qualifications and Skills:

Assist in the maintenance and organisation of governance-related documents, policies, and procedures, e.g. trustees' declarations of interest. Ensure that governance documents are up-to-date and accessible to relevant stakeholders. Facilitate the dissemination of governance updates and policy changes to the appropriate personnel. Maintain documents such as "articles of association". Proven experience in administrative support, preferably in a board or governance-related role. Excellent written and verbal communication skills. Strong organisational and time management abilities. Proficient in office productivity tools, including Google and MS Office suites. Ability to handle sensitive information with confidentiality and integrity. Capacity to work independently and collaboratively in a team environment. Proven knowledge of compliance requirements for charity boards in order to support trustees in carrying out their role within the legal and regulatory framework. Personal Qualities:
